Terms of Service

These Terms of Service ("Terms") form a binding agreement between you and SpinWheelPlus ("we", "us", or "our") governing your access to and use of our website, web application, and online services (the "Services").

By creating an account, clicking an acceptance control, or otherwise using the Services, you agree to these Terms and to our Privacy Policy, Cookie Policy, and, where referenced, our Disclaimer. If you do not agree, do not use the Services. Your use in electronic form satisfies any legal requirement that an agreement be in writing, to the extent permitted by law.

You must be able to form a binding contract where you live. If you are under the age required in your country to consent to online services on your own, you may use the Services only with the involvement of a parent or guardian as required by law.

When you register, you agree to provide accurate information and to keep your account credentials confidential. You are responsible for activity that occurs under your account, except where unauthorized use results from our failure to implement reasonable security safeguards. Notify us promptly if you suspect unauthorized access through our contact page.

SpinWheelPlus provides tools to design, save, and share interactive spin wheels, mystery boxes, random decision tools, templates, embeddable widgets, and related content, together with supporting features such as blogs or dashboards where we offer them. Features may be added, changed, limited, or discontinued over time. We will use reasonable efforts to communicate material negative changes when practical, but we do not guarantee that any specific feature will remain available.

Access may require a compatible device and Internet connection. You are responsible for any fees charged by your carrier or ISP.

You agree not to misuse the Services. Without limiting the foregoing, you must not (and must not assist others to):

• Violate any law, regulation, or third-party rights, including intellectual-property or privacy rights.
• Upload malware, conduct phishing, or attempt to gain unauthorized access to our systems, other users, or third parties.
• Harass, threaten, defraud, spam, or distribute unlawful, obscene, or hateful material in connection with the Services.
• Scrape, crawl, or use automated means in a way that overloads or interferes with the Services, except as allowed by public search-indexing or explicit written permission.
• Reverse engineer, decompile, or attempt to extract source code from our software, except to the extent mandatory law allows interoperability.

We may investigate suspected abuse and cooperate with law enforcement as required or permitted by law.

You retain ownership of wheels, mystery boxes, images, text, and other materials you submit ("User Content"), subject to licenses below. You represent that you have the rights necessary to submit that content and that its use on the Services does not violate law or third-party rights.

You grant SpinWheelPlus a worldwide, non-exclusive, royalty-free license to host, store, reproduce, modify, display, and distribute User Content solely to operate, secure, and improve the Services and to promote SpinWheelPlus in accordance with our Privacy Policy. We may remove or restrict User Content that violates these Terms or that we reasonably believe creates risk for users or SpinWheelPlus.

Except for User Content, the Services, including software, visual design, trademarks, logos, and documentation, are owned by SpinWheelPlus or its licensors. Subject to these Terms, we grant you a limited, personal, non-exclusive, non-transferable, revocable right to access and use the Services for their intended purpose. No additional rights are implied.

If you send us feedback or suggestions, you grant us the right to use them without obligation of compensation, except where prohibited by law.

The Services may integrate with or link to third-party sites, embeds on other websites, payment processors, sign-in providers (such as Google), image hosting or search partners, analytics (such as Google Analytics), or advertising partners (such as Google AdSense). Their availability and terms are controlled by those third parties. SpinWheelPlus is not responsible for third-party content, products, or practices. Use of third-party services is at your own risk and subject to their terms and privacy policies.

Today's core features may be offered at no charge, but we may introduce paid plans, subscriptions, add-ons, or usage-based charges in the future. If we do, we will present applicable fees, billing cycles, and cancellation terms before you are charged. Taxes and currency conversions may apply as disclosed at purchase.

Unless required law or a separate written policy says otherwise, fees are non-refundable once the relevant service period has started, except where we expressly state a money-back window in the checkout flow.

You may stop using the Services at any time. We may suspend or terminate access if you materially breach these Terms, if we are required to do so by law, or to protect the security or integrity of the Services. Where reasonable, we will try to give notice before termination; in some cases (such as ongoing abuse), immediate suspension may be necessary.

Upon termination, rights granted to you under these Terms end, and we may delete or retain certain data as described in our Privacy Policy. Provisions that by their nature should survive (such as intellectual property, disclaimers, limitation of liability, indemnity, and dispute resolution) will survive termination.

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT, TO THE FULLEST EXTENT PERMITTED BY LAW. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, SPINWHEELPLUS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO THE SERVICES, EVEN IF ADVISED OF THE POSSIBILITY. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF THESE TERMS OR THE SERVICES WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID TO SPINWHEELPLUS FOR THE SERVICES IN THE TWELVE (12) MONTHS BEFORE THE CLAIM OR (B) ONE HUNDRED U.S. DOLLARS (US$100), UNLESS MANDATORY LAW REQUIRES OTHERWISE. SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS; IN THAT CASE OUR LIABILITY IS LIMITED TO THE FULLEST EXTENT PERMITTED.

You will defend, indemnify, and hold harmless SpinWheelPlus and its operators, directors, officers, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of your User Content, your use of the Services in breach of these Terms, or your violation of law or third-party rights. We reserve the right to assume exclusive defense of any matter subject to indemnification at your expense, provided that you remain responsible for indemnified amounts.

Except where mandatory consumer protection laws in your country of residence require otherwise, these Terms and any dispute arising out of or relating to the Services are governed by the laws of the State of Delaware, United States, without regard to conflict-of-law principles. You and SpinWheelPlus consent to the exclusive jurisdiction of the state and federal courts located in Delaware for disputes not subject to mandatory arbitration or small-claims rules.

Before filing a claim in court, you agree to contact us through the contact page so we can try to resolve the issue informally.

We may modify these Terms from time to time. If a change is material, we will take reasonable steps to notify you, such as posting a notice on the Services or sending email to your account address before the new Terms take effect. Your continued use after the effective date constitutes acceptance unless applicable law requires a different approach for material changes.
